1. Acceptance of Terms

By accessing or using the website and services of NMT Security Innovations Private Limited ("NMT Security", "Company", "we", "us", or "our"), you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions ("Terms").

If you are using our services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree to any part of these Terms, you must discontinue use of our website and services immediately.

2. Description of Services

NMT Security provides a comprehensive suite of cybersecurity products and professional services, including but not limited to:

• External Attack Surface Monitoring (EASM): Continuous discovery and monitoring of your organization's internet-facing assets
• Vulnerability & Patch Management: Automated identification, prioritization, and remediation tracking of security vulnerabilities
• Third-Party Risk Management (TPRM): Assessment and monitoring of vendor and supply chain security risks
• Governance, Risk & Compliance (GRC): Streamlined compliance management across frameworks like ISO 27001, SOC 2, HIPAA, and DPDP
• Risk Registry: Centralized risk tracking and management platform
• Professional Services: Penetration testing, security audits, compliance consulting, and managed security services

The specific scope, deliverables, and terms of each engagement will be detailed in individual service agreements, statements of work (SOW), or subscription plans.

3. User Accounts & Obligations

When using our services, you agree to:

• Provide accurate, current, and complete information during registration and throughout usage
• Maintain the security and confidentiality of your account credentials and notify us immediately of any unauthorized access
• Use our services solely for lawful purposes and in compliance with these Terms
• Not attempt to gain unauthorized access to our systems, networks, or other users' accounts
• Not reverse engineer, decompile, or disassemble any part of our software or platform
• Not use our services to conduct any activity that could harm, disable, or impair our infrastructure
• Comply with all applicable local, national, and international laws and regulations

You are solely responsible for all activity that occurs under your account.

4. Intellectual Property Rights

All content, materials, software, trademarks, logos, and intellectual property displayed on our website or delivered through our services are the exclusive property of NMT Security or its licensors and are protected by applicable intellectual property laws.

• You may not reproduce, distribute, modify, or create derivative works from any of our content without prior written consent
• The NMT Security name, logo, and product names are registered trademarks and may not be used without authorization
• Any feedback, suggestions, or ideas you submit to us may be used by NMT Security without any obligation to you

5. Confidentiality

Both parties agree to maintain strict confidentiality of any proprietary, sensitive, or non-public information exchanged during the course of service delivery. This includes, but is not limited to:

• Security assessment findings, vulnerability reports, and remediation plans
• Business processes, technical architecture, and infrastructure details
• Pricing, financial information, and contractual terms
• Any data marked or reasonably understood to be confidential

This confidentiality obligation survives the termination of any service agreement and remains in effect indefinitely unless otherwise agreed in writing.

6. Payment Terms

• Payment terms, pricing, and billing schedules will be specified in the individual service agreement, SOW, or invoice
• All fees are due and payable as per the agreed schedule. Failure to pay on time may result in service suspension
• Late payments may incur interest at a rate of 1.5% per month or the maximum rate permitted by law, whichever is lower
• All prices are quoted in the currency specified in the agreement and are exclusive of applicable taxes (GST, VAT, etc.) unless explicitly stated otherwise
• We accept payments via bank transfer, credit/debit cards, and other methods as specified during checkout

7. Service Availability & SLA

We strive to maintain high availability of our platform and services. However, we do not guarantee uninterrupted or error-free operation. Planned maintenance windows will be communicated in advance whenever possible. Specific uptime commitments, if applicable, will be detailed in your Service Level Agreement (SLA).

8. Limitation of Liability

To the maximum extent permitted by applicable law:

• NMT Security shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, or goodwill
• Our total aggregate liability arising from or related to these Terms or any service shall not exceed the total fees paid by you to NMT Security in the twelve (12) months preceding the event giving rise to the claim
• We shall not be liable for any damages resulting from unauthorized access to or alteration of your data by third parties

9. Disclaimer of Warranties

Our services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express, implied, or statutory. We specifically disclaim all implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

While we employ industry best practices and cutting-edge technology, we do not warrant that our services will identify all security vulnerabilities, prevent all cyber attacks, or render your systems completely immune to threats.

10. Indemnification

You agree to indemnify, defend, and hold harmless NMT Security, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising out of or in connection with:

• Your use or misuse of our services
• Your violation of these Terms or any applicable law
• Your infringement of any third-party rights
• Any content or data you provide to us

11. Termination

Either party may terminate the service relationship as specified in the applicable service agreement. Additionally:

• We reserve the right to suspend or terminate your access to our services immediately if you breach these Terms
• Upon termination, your right to use our services will cease immediately
• Sections relating to intellectual property, confidentiality, limitation of liability, indemnification, and governing law shall survive termination

12. Governing Law & Jurisdiction

These Terms & Conditions shall be governed by and construed in accordance with the laws of India. Any disputes, claims, or controversies arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts located in Noida, Uttar Pradesh, India.

Before initiating any legal proceedings, both parties agree to attempt resolution through good-faith negotiations for a period of at least 30 days.

13. Force Majeure

NMT Security shall not be held liable for any delay or failure in performance resulting from causes beyond our reasonable control, including but not limited to natural disasters, acts of government, pandemics, cyber attacks, internet outages, or other force majeure events.

14. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.

15. Changes to These Terms

We reserve the right to modify these Terms & Conditions at any time. Changes will be effective immediately upon posting on our website with an updated "Effective Date." Your continued use of our services after any changes constitutes your acceptance of the revised Terms. We encourage you to review this page periodically.
